Board of Directors

The Company’s Board of Directors shall guide the Company’s strategy, supervise the management, be responsible to the Company and shareholders, handle the operations and arrangements of the corporate governance system, and perform duties in accordance with laws and regulations, the Company’s Articles of Association, or resolutions of the shareholders’ meeting.

Corporate Governance Officer

  • The Board of Directors appointed Executive Deputy General Manager, Lee Yu-Chen as the Governance Director of the Company mainly in charge of matters related to Meetings of Board of Directors and shareholders, preparing meetings of Meetings of Board of Directors and shareholders, assistance to appointment of directors and continuous studies, provision of information required for directors to operate businesses, and assistance of directors to comply with laws and regulations to protect rights of shareholders and enhance functions of the Board of Directors according to laws and regulations.
  • In 2022, execution of matters related to company governance is described below: Assistance to Chairman and Chairs of committees to organize seven meetings of Board of Directors, seven Audit Committee meetings, four Remuneration Committee meetings, one Nomination Committee meetings, and 2022 General Shareholders’ Meeting, Provision of information required for business operations of directors, quarterly report to the Board of Directors on legal compliance, and real-time handling of requests of directors.
